Terms of Service

Welcome to OrderDesk. These Terms of Service ("Terms") govern your access to and use of the OrderDesk smart manufacturing work order system (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

To use the Service, you must:

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

3. Subscription & Billing

Free Plan: The Free plan is provided at no cost with limited features and usage caps, as described on the Pricing page. We reserve the right to modify or discontinue the Free plan at any time.

Paid Plans: Paid plans (Basic, Professional, Enterprise) are billed monthly or annually in advance. By selecting a paid plan, you authorize us to charge your payment method for the subscription fee.

Auto-Renewal: Paid subscriptions automatically renew at the end of each billing cycle unless cancelled at least 48 hours before the renewal date. You may cancel at any time from your account settings.

Refunds: Subscription fees are non-refundable except where required by law. If you cancel, you retain access to the paid features until the end of your current billing period.

Price Changes: We may adjust subscription pricing with at least 30 days' notice. Price changes take effect at the next billing cycle after the notice period.

Failed Payments: If a payment fails, we will attempt to retry. If payment remains unsuccessful after 14 days, your account may be downgraded to the Free plan or suspended.

5. Data Ownership & Rights

You retain full ownership of your Business Data. We do not claim any ownership rights to the data you enter, upload, or generate through the Service.

You grant us a limited, non-exclusive license to use, process, and store your Business Data solely for the purpose of providing the Service to you. This license ends when your account is terminated and your data is deleted.

You may export all your Business Data at any time in standard formats (CSV, JSON, Excel) from within the application. Upon account termination, you have a 30-day grace period to export your data before permanent deletion.

We may use anonymized, aggregated usage data (not linked to your specific business data) for service improvement, performance analysis, and product development.

6. Service Availability & Maintenance

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance where possible. Unscheduled downtime may occur due to technical issues, third-party service disruptions, or security concerns.

Enterprise plan customers may be eligible for service level agreements (SLAs) with uptime guarantees and service credits, as specified in their enterprise agreement.

7. Intellectual Property

The Service, including its software, design, user interface, features, and documentation, is owned by OrderDesk and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service during your subscription period, solely for your internal business purposes.

You may not copy, modify, distribute, or create derivative works based on the Service without our explicit written permission.

8. Third-Party Integrations

The Service may integrate with third-party services (e.g., OA systems, ERP systems, MES systems, payment processors, email providers). Your use of such integrations is subject to the third party's own terms of service and privacy policies. We are not responsible for the actions, omissions, or data practices of third-party services.

When you enable an integration, you authorize us to exchange data with the third-party service as necessary to provide the integration functionality. You are responsible for ensuring you have the right to share data with the third party.

9. API Usage

Enterprise plan customers may access our Open API platform. API usage is subject to rate limits and fair use policies as documented in our API documentation. We reserve the right to throttle or suspend API access for accounts that exceed rate limits or abuse the API.

You are responsible for securing your API keys and secrets. Compromised API keys should be rotated immediately through the platform admin interface.

10. Confidentiality

Both parties agree to keep confidential any non-public information disclosed in connection with the Service, including business data, technical architecture, pricing terms, and security measures. This obligation survives termination of these Terms.

11. Limitation of Liability

To the maximum extent permitted by law, OrderDesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from or related to your use of the Service.

Our total aggregate liability for any claim arising from the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

12. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities. You use the Service at your own risk.

13. Termination

You may terminate your account at any time from your account settings. Upon termination:

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to account holders or in-app notification at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OrderDesk is registered, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall first be attempted through good-faith negotiation. If unresolved, disputes shall be resolved through binding arbitration or the courts of competent jurisdiction.
